  • Approved the appointment of Nelisiwe Shiluvana as Group Financial Director with effect from 1 August 2023.
  • Approved the appointment of William Mzimba as an independent non-executive director and member of the Social and Ethics Committee and Investment Committee.
  • Approved the appointment of Chris Boulle as Chairman, and Alex Maditse as lead independent director with effect from the AGM in 2024.
  • Approved the changes to the Committee composition as result of the appointment of Chris Boulle as Chairman.

The Board confirms that for the year ended 28 February 2024, the Group complied with the provisions of the Companies Act and operated in conformity with its Memorandum of Incorporation.

The Board and its Committees have Charters that are reviewed each year. The latest reviews took place in 2023, and where necessary, the Charters were amended or updated in line with the King IV recommendations and the JSE Listings Requirements.
